These Terms of Service govern your access to and use of hire.zikabrims.com, including our website, talent platform, hiring services, client services, contractor services, communications, onboarding process, interviews, and any related services provided by Zikabrims.
By using our website, submitting a hiring request, applying to join our talent network, booking a consultation, starting a trial, communicating with Zikabrims, or using any of our services, you agree to be bound by these Terms.
If you do not agree with these Terms, you should not use our website or services.
These Terms apply to all website visitors, clients, employers, businesses, applicants, independent professionals, contractors, and any other users of the Zikabrims platform.
1. About Zikabrims
Zikabrims is a remote-first global talent platform that helps businesses find, evaluate, onboard, and work with skilled professionals.
Our services may include talent sourcing, candidate screening, interviews, onboarding support, managed talent placement, client consultation, trial coordination, talent profiles, and related business support services.
Zikabrims does not guarantee that every client will hire a professional or that every professional will receive placement. All hiring and placement decisions are subject to availability, qualification, client needs, business requirements, and Zikabrims’ internal review process.
2. Eligibility
To use Zikabrims, you must be at least 18 years old and legally able to enter into a binding agreement.
If you are using Zikabrims on behalf of a business, company, or organization, you represent that you have authority to act on behalf of that business and bind it to these Terms.
You agree to provide accurate, complete, and truthful information when using our website or services.
3. User Accounts and Information
Some parts of our platform may require you to submit personal, professional, or business information.
You agree that all information you provide to Zikabrims will be true, current, and complete.
You are responsible for keeping your login details, account access, and communication information secure.
Zikabrims may suspend or terminate access if we believe information provided is false, misleading, incomplete, fraudulent, or violates these Terms.
4. Platform Services
Zikabrims may provide services including, but not limited to:
- Talent sourcing
- Candidate screening
- Interview coordination
- Talent onboarding
- Managed remote staffing
- Business support services
- Client consultation
- Talent profile listings
- Trial placement support
- Contractor coordination
- Ongoing client and talent communication
Zikabrims may update, change, suspend, or discontinue any part of the platform or services at any time.
5. Client Responsibilities
Clients using Zikabrims agree to:
- Provide accurate hiring needs and job requirements.
- Communicate professionally with Zikabrims and professionals.
- Review candidates in a timely manner.
- Attend scheduled consultations or interviews.
- Pay all fees and invoices when due.
- Use professionals only for lawful business purposes.
- Protect confidential information.
- Avoid discrimination, harassment, exploitation, or abusive conduct.
- Comply with all applicable business, employment, tax, privacy, and labor laws.
Clients are responsible for determining whether a professional is suitable for their business needs before making a hiring decision.
6. Talent and Independent Contractor Terms
Professionals who apply to or work through Zikabrims understand that they are independent professionals and not employees of Zikabrims, unless a separate written agreement states otherwise.
Independent professionals are responsible for:
- Providing accurate work history, skills, education, and experience.
- Maintaining professional communication.
- Completing assigned work with care and skill.
- Meeting agreed deadlines.
- Protecting client and company information.
- Following lawful client instructions.
- Maintaining their own equipment, internet, workspace, and tools unless otherwise agreed.
- Handling their own taxes, licenses, insurance, and legal obligations.
Nothing on the Zikabrims platform creates an employer-employee relationship between Zikabrims and any independent professional.
7. Talent Profiles and Availability
Talent profiles may include information such as name, skills, years of experience, country, portfolio, professional background, availability, and work category.
Zikabrims makes reasonable efforts to review talent information, but we do not guarantee that every profile detail is complete, current, or error-free.
A professional shown as “available” may become unavailable at any time due to another engagement, schedule changes, client placement, or other reasons.
Displaying a profile on the website does not guarantee immediate availability, placement, hiring, or acceptance by any client.
8. Hiring and Interview Process
Clients may request to interview or engage professionals through Zikabrims.
All interview coordination, hiring discussions, trial arrangements, onboarding, and placement communication must go through Zikabrims unless we give written approval otherwise.
Clients and professionals may not use interviews or introductions to bypass Zikabrims or create unauthorized direct arrangements.
Zikabrims reserves the right to approve, deny, pause, or cancel any hiring process at our discretion.
9. Managed Talent Services
Zikabrims provides managed talent solutions designed to simplify the hiring process for businesses around the world. Our role may include recruiting, screening, interviewing, onboarding, coordinating communication, and managing the relationship between clients and independent professionals.
Unless otherwise stated in a separate written agreement, Zikabrims does not become the employer of professionals placed with clients. Likewise, clients do not become employees or agents of Zikabrims.
We reserve the right to assign account managers, talent coordinators, recruiters, or other representatives to facilitate the successful delivery of our services.
While we strive to recommend qualified professionals, Zikabrims does not guarantee business success, uninterrupted service, or that every placement will meet every expectation.
10. Acceptable Use
You agree to use the Zikabrims Platform only for lawful and legitimate business purposes.
Users may not:
- Provide false or misleading information.
- Create multiple accounts to avoid restrictions.
- Impersonate another individual or business.
- Upload malicious software, viruses, spyware, or harmful code.
- Attempt to hack, reverse engineer, or interfere with the operation of the Platform.
- Collect or scrape information from the Platform without written permission.
- Use automated software or bots to access the Platform.
- Harass, threaten, discriminate against, or abuse other users.
- Post illegal, offensive, defamatory, or obscene content.
- Violate any applicable law or regulation.
- Use the Platform in any manner that may damage the reputation or operations of Zikabrims.
Violation of this section may result in immediate suspension or permanent termination of access to the Platform.
11. Professional Standards
All users of the Platform are expected to conduct themselves professionally.
Clients and professionals agree to:
- Treat one another with respect.
- Communicate honestly and professionally.
- Honor scheduled interviews and meetings.
- Protect confidential information.
- Avoid harassment, discrimination, retaliation, or abusive conduct.
- Respond to communications within a reasonable timeframe.
- Perform services ethically and lawfully.
Zikabrims reserves the right to remove any user whose conduct negatively affects the Platform or other users.
12. Non-Circumvention and Direct Hiring
Zikabrims invests substantial time and resources in sourcing, screening, interviewing, onboarding, and managing professionals.
Accordingly, clients agree that they will not directly or indirectly hire, engage, solicit, or contract with any professional introduced by Zikabrims outside the Platform without the prior written consent of Zikabrims.
Likewise, professionals agree not to bypass Zikabrims by accepting direct work, payments, or employment from clients introduced through the Platform without written authorization.
This restriction applies during the business relationship and for twenty-four (24) months following the last introduction, interview, placement, or communication involving the professional.
If a client wishes to directly hire a professional introduced through Zikabrims, the client must first notify Zikabrims. A Direct Hire Conversion Fee may apply, as outlined in the applicable service agreement or pricing schedule.
Any attempt to avoid management fees, placement fees, or other contractual obligations by circumventing the Platform constitutes a material breach of these Terms.
Zikabrims reserves all rights available under law to recover damages, unpaid fees, legal costs, and other remedies resulting from any violation of this section.
13. Intellectual Property
All content available on the Platform, including but not limited to logos, trademarks, service marks, graphics, software, databases, website design, written content, documentation, videos, images, forms, templates, and marketing materials, is the exclusive property of Zikabrims or its licensors.
Nothing contained on the Platform grants ownership of any intellectual property to users.
You may not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, or otherwise exploit any content from the Platform without prior written permission from Zikabrims.
Any unauthorized use may result in legal action.
14. Copyright Complaints
Zikabrims respects the intellectual property rights of others.
If you believe that material appearing on the Platform infringes your copyright or other intellectual property rights, you may submit a written notice containing:
- Your name and contact information.
- A description of the copyrighted work.
- The location of the allegedly infringing material.
- A statement that you have a good-faith belief the use is unauthorized.
- A statement, made under penalty of perjury, that your notice is accurate.
- Your physical or electronic signature.
Upon receiving a valid complaint, Zikabrims may investigate, remove the content, disable access, or take any other action deemed appropriate.
15. Confidentiality
Users may receive confidential information belonging to Zikabrims, clients, professionals, or business partners.
Confidential information includes, but is not limited to:
- Business strategies.
- Pricing.
- Client information.
- Candidate information.
- Internal documents.
- Technical information.
- Financial information.
- Trade secrets.
Users agree to maintain the confidentiality of such information and not disclose, reproduce, or use it except as necessary for the intended business purpose.
These confidentiality obligations continue even after your relationship with Zikabrims ends.
16. Data Security
Zikabrims implements commercially reasonable administrative, technical, and organizational safeguards to protect information stored on the Platform.
However, no internet-based system can guarantee absolute security.
Users are responsible for maintaining the confidentiality of their account credentials and promptly notifying Zikabrims of any suspected unauthorized access or security incident.
Zikabrims shall not be liable for security breaches resulting from user negligence, compromised passwords, third-party attacks beyond our reasonable control, or events constituting force majeure.
17. Payments and Billing
Clients agree to pay all fees associated with the services they purchase from Zikabrims.
Fees may include, but are not limited to:
- Managed talent service fees
- Monthly management fees
- Recruitment fees
- Direct hire conversion fees
- Consultation fees
- Subscription fees
- Additional services requested by the Client
All pricing is displayed on the Platform, included in a proposal, or agreed upon in writing before services begin.
Failure to make payment when due may result in suspension of services, removal of assigned professionals, cancellation of interviews, or termination of the Client’s account.
Zikabrims reserves the right to charge interest or late fees on overdue balances where permitted by applicable law.
18. Taxes
Clients are responsible for paying all applicable taxes, duties, governmental charges, and similar assessments related to the services they purchase.
Independent professionals are solely responsible for reporting and paying their own income taxes, self-employment taxes, payroll taxes, insurance premiums, licensing fees, and any other legal obligations applicable in their country or jurisdiction.
Zikabrims does not provide tax, accounting, or legal advice.
19. Disclaimer of Warranties
The Platform and all services provided by Zikabrims are offered on an “as is” and “as available” basis.
To the fullest extent permitted by law, Zikabrims disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability
- Accuracy
- Reliability
- Uninterrupted service
Zikabrims does not guarantee that:
- Every professional will be hired.
- Every Client will find a suitable professional.
- The Platform will always be available without interruption.
- Any recommendation will meet a Client’s expectations.
- Services will be completely error-free.
Users assume all risks associated with using the Platform.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Zikabrims, its owners, directors, officers, employees, affiliates, contractors, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:
- Use of the Platform
- Inability to use the Platform
- Hiring decisions
- Professional performance
- Business interruption
- Lost revenue
- Lost profits
- Loss of business opportunities
- Loss of goodwill
- Data loss
- Security incidents beyond our reasonable control
In no event shall Zikabrims’ total liability exceed the total amount actually paid by the Client to Zikabrims for the specific service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability. Where prohibited by law, portions of this section may not apply.
21. Indemnification
You agree to defend, indemnify, and hold harmless Zikabrims, its affiliates, directors, officers, employees, contractors, representatives, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of applicable laws.
- Your negligence or misconduct.
- Your infringement of intellectual property rights.
- Your interactions with other users.
This obligation survives termination of your account.
22. Suspension and Termination
Zikabrims reserves the right, at its sole discretion and without prior notice where permitted by law, to suspend, restrict, or permanently terminate any account for reasons including:
- Violation of these Terms.
- Fraud or attempted fraud.
- Misrepresentation.
- Illegal activity.
- Harassment.
- Abuse of the Platform.
- Non-payment.
- Circumvention of Zikabrims.
- Repeated client or professional complaints.
- Conduct that may damage the reputation or business interests of Zikabrims.
Termination of an account does not eliminate any outstanding payment obligations or legal responsibilities.
23. Force Majeure
Zikabrims shall not be responsible for delays or failure to perform any obligation due to circumstances beyond its reasonable control, including but not limited to:
- Natural disasters
- Floods
- Fires
- Earthquakes
- Pandemics
- Epidemics
- War
- Terrorism
- Government actions
- Internet outages
- Utility failures
- Labor disputes
- Cyberattacks
- Failures of third-party service providers
Performance shall be suspended for the duration of the force majeure event.
24. Electronic Communications
By using the Platform, you consent to receive communications electronically.
These communications may include:
- Account notifications
- Service updates
- Agreements
- Invoices
- Payment reminders
- Security notices
- Policy updates
- Marketing communications where permitted by law
Electronic communications satisfy any legal requirement that communications be in writing.
25. Changes to These Terms
Zikabrims may revise these Terms of Service at any time.
Updated versions become effective immediately upon publication unless otherwise required by law.
Your continued use of the Platform following publication of revised Terms constitutes your acceptance of those changes.
If you do not agree with any updated Terms, you should discontinue use of the Platform.
26. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.
Before initiating legal action, the parties agree to make a good-faith effort to resolve disputes through informal negotiations.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration, except where prohibited by applicable law.
Any legal proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Harris County, Texas.
The prevailing party in any legal proceeding shall be entitled to recover reasonable attorneys’ fees and legal costs where permitted by law.
27. Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Zikabrims to enforce any provision shall not constitute a waiver of that provision.
Users may not assign or transfer their rights or obligations under these Terms without the prior written consent of Zikabrims.
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, 14-Day Trial Terms, and any additional written agreements executed between the parties, constitute the complete agreement between you and Zikabrims regarding the use of the Platform.
